The **National Stock Exchange of India (NSE)** has taken a significant step towards its long-awaited public listing by filing its **Draft Red Herring Prospectus (DRHP)** with the **Securities and Exchange Board of India (SEBI)**. The proposed offering is expected to be among the largest **initial public offerings (IPOs)** in India’s capital market history and marks a major milestone for the country’s financial ecosystem.

After years of regulatory and procedural delays, the IPO filing has renewed investor interest in one of India’s most influential market infrastructure institutions.

## **About NSE**

Established in 1992, the National Stock Exchange is India’s largest stock exchange by trading volume and one of the world’s leading derivatives exchanges. The exchange plays a central role in India’s capital markets by facilitating trading in equities, derivatives, debt instruments, exchange-traded funds (ETFs), and other financial products.

> Over the years, NSE has developed a strong technology-driven platform, enabling efficient price discovery, transparency, and market accessibility for millions of investors.

## **IPO Structure**

## **Financial Performance**

NSE has demonstrated strong financial performance in recent years.

For the financial year ended March 2026, the exchange reported:

- Total income of approximately ₹18,700 crore

- Net profit of approximately ₹10,302 crore

- Net profit margin exceeding 50%

The exchange continues to benefit from its dominant position in India’s equity derivatives segment, which contributes a substantial portion of its revenue.

## **Key Strengths**

### **Market Leadership**

NSE remains the leading stock exchange in India across several trading segments, particularly derivatives trading.

### **Strong Technology Infrastructure**

The exchange operates a highly sophisticated trading platform capable of processing large volumes of transactions with low latency and high reliability.

### **Broad Retail Participation**

India’s growing retail investor base has contributed significantly to trading activity on the exchange, strengthening its market position.

### **Robust Profitability**

NSE’s strong margins, healthy cash generation, and consistent profitability provide financial strength and operational flexibility.

## **Key Risk Factors**

Investors should carefully evaluate the risks disclosed in the draft prospectus before making investment decisions.

> ### **Regulatory Risks**

As a market infrastructure institution, NSE operates in a highly regulated environment. Changes in regulations, market structure, or compliance requirements could impact operations and profitability.

> ### **Dependence on Derivatives Revenue**

A significant portion of NSE’s revenue is derived from derivatives trading activity. Any decline in trading volumes or regulatory changes affecting derivatives markets could influence earnings.

> ### **Technology and Cybersecurity Risks**

Given the exchange’s technology-intensive operations, system failures, cyberattacks, or infrastructure disruptions may adversely affect business continuity and market confidence.

> ### **Competitive Environment**

Competition from other exchanges and evolving financial market platforms may influence future growth and market share.

## **Significance for Indian Capital Markets**

The proposed listing is expected to be a landmark event for India’s capital markets. As one of the country’s most valuable financial institutions, NSE’s public listing could broaden investor participation and enhance transparency through public market disclosures.

The IPO may also provide liquidity opportunities for existing shareholders who have held investments in the exchange for an extended period.

## **Conclusion**

NSE’s IPO represents a significant development in India’s financial market landscape. Backed by strong profitability, market leadership, and a critical role in the country’s capital markets infrastructure, the exchange has attracted substantial investor attention.

However, investors should assess the offer based on the final prospectus, valuation metrics, business fundamentals, risk disclosures, and individual investment objectives before making any investment decisions.

A trader may have green days and red days.

The exchange has trading days.

That’s an important distinction.

Every day, thousands of crores worth of transactions pass through NSE across equities, futures, options, ETFs, and other segments. While market participants compete for returns, the exchange benefits from the participation itself.

It’s one of the few businesses where growth is closely linked to the long-term expansion of the capital markets ecosystem.

The NSE IPO isn’t just a listing. It’s an opportunity to look at the market from the other side of the trade.

# **NSE IPO Is Finally Here**

After years of waiting, the **NSE IPO is finally happening**.

The IPO will open on **17 September 2026** and close on **21 September 2026** , with a price band of **₹1,700-₹1,785 per share**.

But before looking at the IPO as just another listing opportunity, there’s a more interesting question:

**What makes NSE such a big business in the first place?**

## **The IPO at a glance**

 ![{8244483D-BBA9-446C-BB76-59E80B9F03AB}](https://us1.discourse-cdn.com/flex015/uploads/aliceblueonline/original/2X/a/a7329643237a3dd89b043fd908d7ceb5a3211db0.png)

One important point: **this is entirely an Offer for Sale (OFS).**

That means the shares are being sold by existing shareholders. The money raised from the IPO will go to those shareholders, **not to NSE**.

## **Why does NSE matter so much?**

NSE isn’t just another listed company entering the stock market. It operates one of India’s biggest financial market platforms.

In FY26, NSE accounted for:

- **92.99%** of India’s cash equity market turnover

- **99.79%** of equity futures turnover

- **74.71%** of equity options premium turnover

It also had **12.91 crore unique registered investors** as of 31 March 2026.

So, the bigger story behind this IPO is the scale of the business NSE has built over the years.

## **But there is another side to the story**

NSE’s business is closely linked to trading activity.

In FY26, its revenue from operations was around **₹16,601 crore** , while profit after tax stood at approximately **₹10,302 crore**.

Transaction charges alone contributed around **₹13,057 crore**.

This is important because a large part of NSE’s income comes from market activity, particularly derivatives.

If trading activity changes, regulations change, or the way derivatives are traded changes, NSE’s earnings can also be affected.

Interestingly, the June 2026 quarter showed some improvement, with revenue from operations rising **13% YoY to ₹4,560 crore** and profit after tax increasing **7% to ₹3,120 crore**.

## **One more thing has changed**

The IPO size is much smaller than what was discussed earlier.

The earlier proposal was around **14.9 crore shares** , which could have made the issue worth roughly ₹30,000 crore.

The RHP now puts the offering at up to **12.64 crore shares** , taking the issue size to around **₹22,569 crore** at the upper end of the price band.

Several existing shareholders have also reduced the number of shares they plan to sell.

## **So, what’s the real story?**

The NSE IPO gives investors a chance to own shares in the company operating one of India’s most important market platforms.

But the numbers also show why it’s worth looking beyond the brand name.

**NSE’s size, market share and profitability are strong. At the same time, its earnings are closely tied to trading activity and the rules governing the markets.**

And because this is an OFS, the IPO isn’t about NSE raising money for expansion.

It is primarily about **existing shareholders selling their stake and NSE becoming a listed company.**

So the question isn’t simply:

**“Will NSE IPO list at a premium?”**

A better question may be:

**“At ₹1,700-₹1,785, what am I paying for this business?”**

The stock is currently trading near its 52-week low of ₹1,761, which was also the day’s low on September 28. The 52-week high stands at ₹1,878, which was the listing day high on September 24.

## **IPO Recap: Key Details**

## **Subscription Status (Final Day)**

- **Qualified Institutional Buyers (QIBs):** 12.68x subscribed

- **Non-Institutional Investors (NIIs/HNIs):** 6.55x subscribed

- **Retail Individual Investors (RIIs):** 1.39x subscribed

- **Overall Subscription:** 5.71x

Total applications received: approximately 38.42 lakh.

## **Listing Day Performance (September 24, 2026)**

- **Open:** ₹1,800

- **High:** ₹1,878

- **Low:** ₹1,800

- **Last Traded Price:** ₹1,818

This indicated a modest premium of around 1.8 to 2% over the issue price on listing day.

## **Post-Listing Price Action**

Since listing, NSE shares have shown some weakness:

- **Listing Day Close:** Around ₹1,818

- **Current Price (Sep 28):** ₹1,770.50

- **Decline from Listing:** Approximately 2.6%

The stock is now trading below its issue price of ₹1,785, indicating a slight loss for investors who applied at the upper end and bought at listing.

## **Why This IPO Matters?**

- **Monopoly Position:** NSE commands 99.79% market share in India’s cash market and 99.48% in equity options as of March 2026.

- **No Fresh Capital:** Since it is a pure OFS, the exchange itself does not benefit from the proceeds. Existing shareholders do.

- **Strong Cash Generator:** Despite a YoY dip, NSE remains highly profitable with a PAT margin above 50%.

- **Regulatory Oversight:** As a market infrastructure institution, NSE operates under SEBI’s close supervision, adding a layer of stability but also regulatory risk.

## **What Investors Should Watch Now?**

- **Price Support at ₹1,761:** The stock has found support at its 52-week low of ₹1,761, which was also the day’s low on September 28. A break below this level could signal further weakness.

- **Anchor Lock-in Expiry:** 50% of anchor shares unlock after 30 days (October 21, 2026), which could influence short-term supply.

- **Revenue Trends:** The slight decline in income and profit in FY26 warrants monitoring in upcoming quarters. Revenue and PAT declined by 2% and 15% respectively between FY25 and FY26.

- **Valuation Comfort:** At around 35x post-IPO P/E, the stock is priced for quality and dominance, leaving limited margin of safety if growth stalls.

- **Technical Indicators:** Moving averages and oscillators currently show a bearish bias, with the stock trading below its 20-day and 200-day moving averages.

## **Shareholding Pattern (Post-IPO)**

 ![image](https://us1.discourse-cdn.com/flex015/uploads/aliceblueonline/original/2X/8/8a105700f58fb6a05704fcd34a9585cefc1a7451.png)

Retail investor holdings have increased from 32.56% to 46.26% in the September 2026 quarter, indicating strong retail participation post-listing.

## **How to Check Allotment Status**

Investors can verify their allotment via:

1. **BSE IPO Status Page:** Select “Equity”, then “NSE Limited”, then enter Application No. or PAN.

2. **Registrar (MUFG Intime):** Visit the IPO allotment portal, select “NSE Limited”, and enter PAN, Application No., or DP ID.

**Bottom line:** The NSE IPO has successfully listed and is now trading with modest weakness. The stock is currently trading near its 52-week low, offering a potential entry point for long-term investors who believe in the exchange’s monopoly franchise. However, valuation and regulatory dynamics should be weighed carefully, especially with anchor lock-in expiry approaching in October.
